TERMS AND DEFINITIONS

In these Terms and Conditions of Use (hereinafter — the Terms and Conditions), unless the context requires otherwise, the terms below have the following meanings and shall be their integral part:

Buyer is any individual who accepts a public offer placed on the platform.

Platform is the Seller’s official resource at the Internet address www.greencapital.pro. Within the framework of these Terms and Conditions, the concept of platform, as well as the Internet address www.greencapital.pro and derivatives of GreenCapital are equivalent and shall be interpreted authentically, in the context hereof.

Product is a subject matter of agreement between the parties, a list of assortment names presented on the official platform.

Promotional discount is a discount granted for a specific Product. The discount amount is indicated on the Product page. The price of the Product is given taking into account the promotional discount.

Promotional code discount is a discount provided for a certain group of Products upon entering a special code when placing an Order in the Buyer’s Cart.

Promotional code is a special code that gives a discount for a specific group of Products and is valid until certain date. To receive a promotional code discount, you should enter a promotional code in the Buyer’s special field when placing an Order; some promotional codes may be applied automatically.

Bonuses are virtual funds credited for the purchase of certain products and valid until certain date.

 

GENERAL PROVISIONS

These platform rules (hereinafter — the Rules) are the official offer of "Agromine" JSC to any individual who has the legal capacity and authority to enter into a contract with "Agromine" JSC for the purchase and sale of the Product placed on the platform. Relations in the field of consumer protection are regulated by law.

 

REGISTRATION ON THE WEBSITE

Only registered Buyers can place an Order on the platform, and the Buyer may register on the Website only one (1) time, i.e., he can have only one personal profile.

The Seller shall not be responsible for the accuracy and correctness of the information provided by the Buyer during registration.

The Buyer who has registered on the platform receives individual identification in the form of a user name and password. The individual identification of the Buyer helps to prevent unauthorised actions of third parties on the Buyer’s behalf and opens up access to additional services. The transfer of a user name and password to third parties by the Buyer is prohibited.

The Buyer shall be solely responsible for all possible negative consequences in case of transfer of his user name and password to third parties.

 

INTERACTIONS AND PRODUCT PRICE

The Seller transfers, and the Buyer accepts and pays for the Products under the terms of contracts accepted by the Buyer on the platform. The title to the Ordered Products shall be transferred to the Buyer from the moment of actual transfer of the Products to the Buyer and payment of the full cost of the Products by the latter. The Seller determines prices for the Products at its sole discretion and places them on the platform at the Internet address: www.greencapital.pro

The price is indicated in US dollars or other currencies and includes all necessary taxes and charges.

The final price of the Products is consistently determined in the following order:

- Promotional discount (if any)

- Promotional code discount (if any)The Buyer has the right to withdraw its own funds credited to the balance of his personal cabinet. To this end, he needs to send a request in any form to the support service. The minimum withdrawal request is $50 (fifty US dollars). After the Seller receives a request, he shall pay the funds within 10 working days.. Funds are transferred to the Buyer minus any platform and bank fees.

The Seller and the Buyer agree that the data indicated on the platform in the Calculator section is for reference purposes only, and the amounts actually paid may differ depending on market fluctuations in the price of olive oil, the volume of crops harvested, and other reasons.

The Buyer also has the opportunity to put the Product up for sale in the TreeStore section.The Platform Use Instructions are described in the FAQ sections and informational pop-ups.

CONCLUSION OF THE CONTRACT

By accepting the agreements placed on the platform and completing the purchase of Products, the Buyer agrees that:

- Registration data (including personal data) is provided by him voluntarily

- Registration data (including personal data) is transmitted in electronic form via open Internet communication channels

- Registration data (including personal data) is transferred to the Seller for the implementation of the goals specified in this offer and may be transferred to third parties for the implementation of the goals specified in these Rules

- Registration data (including personal data) may be used by the Seller to promote products and services through direct contacts with the Buyer using communication channels

- Registration data (including personal data) may be used by the Seller in order to send the Buyer advertising and information materials from the Seller and/or its partners via electric communication networks, including the Internet, accordinglyIn order to provide additional protection against fraudulent activities, the registration data specified by the Buyer (including personal data) may be transferred to the bank that carries out transactions on payment of orders placed on www.Greencapital.pro

- Buyer’s consent to process his registration data (including personal data) has no time limit.

Acceptance of agreements placed on the platform is the Buyer’s consent to join without any exceptions and/or reservations.

The Buyer’s registration on the platform is the unconditional Buyer’s acceptance of these rules, including the Buyer’s consent to receive the Seller’s SMS messages on the status of his order and surveys to improve the quality of customer service. The Buyer who has purchased the Products on the Seller’s Platform is considered as a person who has entered into a relationship with the Seller on the terms of agreements placed on the platform and these rules.

 

RIGHTS AND OBLIGATIONS OF THE PARTIES

The Seller undertakes:

- From the moment of acceptance of all agreements on the platform by the Buyer, to fully ensure the performance of all obligations to the Buyer in accordance with the valid contract and effective laws. The Seller reserves the right to default in case of force majeure circumstances.

- To process the Buyer’s personal data in the manner prescribed by the effective laws regarding the organisation of processing and ensuring the security of personal data.

- If the goal of processing personal data is achieved, the Seller undertakes to stop processing personal data or ensure the same (if personal data is processed by another person acting on the Seller’s behalf) unless otherwise provided by these rules.

The Seller has the right:

- To make changes to these rules, Product Prices and Tariffs for related services, methods and terms of payment unilaterally by placing them on the platform at the Internet address: www.greencapital.pro. All changes shall take effect immediately after publication and be considered communicated to the Buyer from the moment of such publication.

- To record telephone conversations with the Buyer. According to the law, the Seller undertakes: To prevent attempts of unauthorised access to information and/or transfer thereof to persons not directly related to the execution of Orders, to detect and suppress such cases in good time.

- Without the Buyer’s consent, to transfer its rights and obligations to third parties.

- When selling the Products, the Seller has the right to demand from the Buyer 100% prepayment of the cost of the Products. The Seller has the right to refuse to sell the Products to the Buyer in case of his failure to pay.

- Use the cookies technology. Cookies do not contain confidential information and are not transferred to third parties.

- To receive information about the IP address of a visitor to www.greencapital.pro. This information is not used to identify the visitor and is not subject to being transferred to third parties.

- The Seller has the right to send the Buyer advertising and informational messages via email and SMS about discounts, promotions, new arrivals, etc. The Seller determines the frequency of mailings independently and unilaterally.

- The Seller has the right to unilaterally cancel the Buyer’s purchase in the event that the Buyer violates the conditions specified in these rules or the agreements accepted by the Buyer on the platform. In this case, the Seller undertakes to refund the funds actually paid by the Buyer save the expenses.

- The Seller has the right to limit the amount of Products ordered per a day.

- The Seller has the right to unilaterally change the conditions of promotions posted on the platform website www.greencapital.pro without the Buyer’s consent by posting such changes on www.greencapital.pro.

- In the event that the Buyer has funds in his balance, the platform reserves the right to require an identity document and a statement in the established form when changing personal data.

- By posting a feedback on the Website, you give your consent to the use of the feedback data on third-party resources.

The Buyer undertakes:

- Before accepting the agreements placed on the platform, to read and understand the contents and provisions of the above agreements and these rules and the prices of the Products offered by the Seller on the platform.

- In the pursuance of the Seller’s obligations to the Buyer, the latter shall provide all the necessary data that clearly identifies him as a buyer.

- To pay for the Products.

- To follow these rules.

FORCE MAJEURE

Any of the Parties shall be exempted from liability for full or partial non-fulfilment of its obligations under this Contract if such non-fulfilment was caused by force majeure circumstances arising after the signing of the Contract. “Force Majeure Circumstances” mean extraordinary events or circumstances that such a Party could not have foreseen or prevented by the means available to it. Such extraordinary events or circumstances include, but are not limited to, the following: strikes, floods, fires, earthquakes and other natural disasters, wars, military operations, actions of state authorities, as well as any other circumstances that go beyond the reasonable control of any of the Parties. Changes to the effective laws or regulations that have a direct or indirect impact on any of the Parties shall not be considered as Force Majeure Circumstances, however, if there are changes that do not allow either Party to fulfil any of its obligations, the Parties are obliged to immediately decide on the order of work to address this problem in order to ensure that the Parties can continue fulfilling their obligations.


The Buyer guarantees that he understands all the provisions of these Terms and Conditions and accepts them in full.

If the Buyer does not agree with at least one of the provisions of these Rules, he does not have the right to use the Platform and shall immediately leave it.
